Job Summary
We are working with a well-established investment firm with a global presence to hire a Senior Legal Counsel to be based in Singapore or Shanghai. The firm focuses on platform-building, buyout, credit and growth-focused opportunities across multiple core areas. The successful candidate will need to be an experienced private equity / M&A / private credit transactional lawyer who is able to handle a wide range of transactions of the investment funds sponsored by the firm and he/she will report to the Managing Director (Legal) overseeing the transaction execution.Key Responsibilities -
- Assist in the management and negotiations of private equity investments, private credit and structured finance transactions, co-investments, and other transactions on behalf of the investment funds and accounts under the group
- Provide legal support to the firm’s onshore and cross-border investment activities, including organizing the legal due diligence, negotiating the investment terms, analyzing the deal structures, drafting, reviewing the transaction documents and overseeing the post-investment management of the portfolios etc;
- Act as lead transaction counsel on deals, manage transaction execution, draft, review and negotiate full range of deal documentation;
- Manage external counsels, work alongside with investment team, and coordinate with operations team on the execution of transactions;
- Monitor and update business teams on relevant legal and regulatory developments, and compliance with applicable laws and regulations regarding conflicts of interest, corporate governance, ethics, labor laws, and environmental protection
- Provide advice and support to internal stakeholders to develop, establish and improve internal processes relating to investments; and
- Take initiative to identify and analyze problems, generate alternative solutions and make decisions with little direction/supervision.
Required Qualifications -
- A law degree with superior academic credentials from a top-tier law school
- 8-12 years’ experience as a private equity / M&A / financing lawyer in leading law firms, preferably also having in-house counsel experience in a leading asset manager or other investment institution;
- Strong legal technical skills and commercial awareness;
- Ability to oversee and effectively manage external counsels and internal stakeholders;
- Strong organizational skills and ability to work with others and manage multiple time sensitive matters in a demanding, fast-paced and dynamic environment;
- Motivated team player with ability to work independently and potential to lead as necessary;
- Ability to take initiative to anticipate, identify and analyze issues, generate potential solutions and make decisions independently;
- Possess exceptional interpersonal, analytical, written and oral communication skills - must be able to resolve complex issues in a practical manner on a compressed timeline and to communicate complex concepts in an understandable way;
- Excellent written and verbal communication skills - presents ideas in a clear, concise and constructive manner and have the ability to work with Chinese stakeholders
